Welcome to SeaWhale AI (the "Platform", "we", "us" or "our"). These Terms of Service (the "Terms") form an agreement between you and the Platform governing your use of the AI model aggregation API and related services we provide (the "Service"). Please read these Terms carefully before registering, signing in, or using the Service. By creating an account, signing in, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the Service.
1. The Service
- The Platform is an AI model aggregation service that provides access to models from multiple upstream AI providers (including but not limited to OpenAI, Anthropic, Google, and DeepSeek) through a single unified API.
- The Service includes, without limitation: model API access and forwarding, API key management, usage analytics, account top-ups and billing, and the online Playground.
- We may adjust the Service, the models offered, and pricing as our business and upstream providers evolve. Changes will be published on the relevant pages of the Platform, and material changes will be announced in advance where reasonably practicable.
2. Account Registration and Security
- You must register and sign in with a valid phone number, and you warrant that the information you provide is true, accurate, and up to date.
- Your account credentials (phone number, verification codes, login tokens) and API keys are for use by you or within your own organization only. Do not sell, lend, transfer, or otherwise disclose them to any third party, and keep them secure at all times.
- You are solely responsible for any loss arising from your failure to safeguard your credentials — including committing API keys to public code repositories or disclosing them to third parties. If you become aware of any unauthorized use of your account or API keys, contact us immediately and rotate the affected keys.
- If you are under 18, you may only use the Service under the supervision and guidance of a parent or legal guardian.
3. Payments and Billing
- The Service operates on a prepaid, pay-as-you-go basis. Account balances are denominated in US dollars (USD). When topping up via WeChat Pay, the RMB amount payable is calculated using the settlement exchange rate and service fee shown at the time of the order.
- Model prices are as published on the Platform's pricing pages. Prices may change in line with upstream provider adjustments; updated prices apply to usage occurring after publication.
- Usage fees are deducted from your account balance in real time. Please monitor your balance — an insufficient balance may cause requests to fail or the Service to be interrupted.
- Top-up balances are non-refundable once credited, except where required by applicable law or otherwise agreed by us. Promotional or gifted credits cannot be withdrawn or transferred.
- If you dispute any charge, please contact us within 30 days of the charge so we can investigate.
4. Acceptable Use
You agree to use the Service in compliance with applicable laws and not to use it for any unlawful activity or activity that infringes the rights of others, including without limitation:
- Violating the laws and regulations of the People's Republic of China or of your own jurisdiction;
- Generating or distributing content that incites violence or terrorism, or that is pornographic, gambling-related, fraudulent, discriminatory, or defamatory;
- Infringing any third party's intellectual property, trade secrets, privacy, publicity, or other lawful rights;
- Generating and spreading false information, or otherwise misleading or deceiving the public;
- Attacking, penetrating, or reverse-engineering the Platform, or accessing the Service through abnormal automated means such as scraping;
- Reselling or redistributing the Service, or otherwise commercially re-offering it without our prior written consent;
- Circumventing the Platform's security policies, content moderation, rate limits, or billing mechanisms.
If you breach these rules, we may — depending on severity — issue warnings, throttle or suspend your access, terminate the Service, or ban your account without refunding any remaining balance, and you will bear any resulting legal liability.
5. AI-Generated Content
- Output from the Service is generated automatically by AI models. It does not represent the views of the Platform and does not constitute professional advice of any kind (including medical, legal, financial, or investment advice).
- AI-generated content may contain errors, omissions, or inaccuracies. You are responsible for reviewing and verifying any output before relying on it or using it; we accept no liability for losses arising from your use of or reliance on generated content.
- To the extent permitted by law, content you generate through the Service belongs to you, provided that your use of such content complies with applicable laws and the relevant terms of the upstream model providers.
6. Intellectual Property
- All intellectual property in the Platform — including its website, documentation, trademarks, logos, interface designs, and proprietary code — belongs to the Platform. No one may copy, modify, distribute, or commercially exploit it without our written permission.
- You are solely responsible for the legality of any input you submit to the Service and warrant that it does not infringe the rights of any third party.
7. Changes, Suspension, and Termination
- The Service depends on upstream AI providers. If an upstream provider modifies, restricts, or discontinues its services, we may adjust or retire the affected models accordingly, with advance notice where reasonably practicable.
- Where the Service is interrupted due to maintenance, upgrades, failures, or force majeure (including natural disasters, network outages, or regulatory changes), we will use reasonable efforts to restore it promptly, but we are not liable for losses caused by such interruptions.
- We may deactivate accounts that have not signed in for 24 consecutive months and hold a zero balance.
- You may stop using the Service at any time. To delete your account, please contact customer support.
8. Disclaimers and Limitation of Liability
- The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we make no express or implied warranties regarding the continuity, timeliness, or accuracy of the Service.
- To the maximum extent permitted by law, our total aggregate liability to you under these Terms is capped at the total fees you actually paid for the Service in the 12 months preceding the event giving rise to the claim. We are not liable for indirect losses, loss of profits, or loss of data.
9. Privacy
We take the protection of your personal information seriously. Please read our Privacy Policy, which explains how we collect, use, store, and protect your personal information and forms part of these Terms.
10. Changes to These Terms
We may revise these Terms from time to time to reflect legal or business changes. The revised Terms will be published on this page with an updated date, and material changes will be notified through appropriate channels. Your continued use of the Service after a revision takes effect constitutes acceptance of the revised Terms.
11. Governing Law and Disputes
- These Terms are governed by the laws of the People's Republic of China (excluding Hong Kong, Macau, and Taiwan).
- Any dispute arising out of or relating to these Terms shall first be resolved through friendly negotiation; failing that, either party may bring proceedings before the competent people's court at the place where the Platform's operator is located.
